ARTICLE NINETEEN – AMENDMENTS

Except as otherwise provided by law or in these Bylaws, new Bylaws may be adopted, or these Bylaws may be amended or repealed by the vote or written consent of members entitled to exercise a majority of the voting power of the Company. Subject to the rights of members to adopt, amend or repeal Bylaws, as hereinabove provided, Bylaws, other than a bylaw or amendment thereof changing the authorized number of directors, may be adopted, amended or repealed by Board of Directors.
